Hogan Lovells advises NORD/LB and Deutsche Hypo on merger and full integration
Led by Frankfurt partner Tim Oliver Brandi, international law firm Hogan Lovells is advising Norddeutsche Landesbank - Girozentrale - (NORD/LB) and Deutsche Hypothekenbank (Actien-Gesellschaft) (Deutsche Hypo) on the merger and full integration of Deutsche Hypo into NORD/LB.
The Owners' Meeting of NORD/LB and the General Meeting of Deutsche Hypo decided at their respective meetings on 14 December 2020 that Deutsche Hypo should be fully integrated into NORD/LB. The integration of Deutsche Hypo into NORD/LB will take place by way of a merger on the basis of § 16 para. 1 no. 2 of the NORD/LB State Treaty. The merger is expected to be completed on 30 June 2021 by entry in the commercial register.
Hogan Lovells is advising NORD/LB and Deutsche Hypo comprehensively on all relevant legal issues as joint legal transaction advisor in the context of this merger and integration process.
