Elizabeth Adams focuses her practice on the tax consequences of cross-border finance, mergers and acquisitions, real estate joint ventures, and other transactional tax matters.
Elizabeth advises on inbound and outbound tax-planning considerations, including treaty issues, effectively connected income (including under the Foreign Investment in Real Property Tax Act (FIRPTA)), the foreign tax credit, the Foreign Account Tax Compliance Act (FATCA), and the rules applicable to controlled foreign corporations and passive foreign investment companies.
Elizabeth has experience advising sovereign wealth funds, foreign pension funds, non-U.S. banks, international sports organizations, and other foreign investors in the United States. She has also advised private equity funds, hedge funds, and real estate investment funds in connection with fund formation transactions, acquisitions, and restructurings.
Prior to joining the firm, Elizabeth worked as a tax associate in the New York office of another global law firm. While in law school, Elizabeth served as the Executive Editor of the Virginia Journal of International Law. She and her team also won the International and European Tax Moot Court Competition.
