As an associate in our Corporate group, Reina Goto is involved in all stages of M&A transactions from drafting and reviewing definitive and related agreements, to FOREX notification and execution report filings, and commercial registration applications, both pre- and post-closing.

She has experience assisting in negotiating post-closing employment transfer and building lease agreements, as well as preparing internal rules.

In addition to her significant experience in Japan, Reina's practice also includes cross-border matters spanning the United States, South America, Europe, and Asia-Pacific.

Reina also has experience in Japanese antitrust law, Japanese copyright law, international commercial arbitration, pharmaceutical regulations, procedures regarding managing foreign subsidiaries, employment law, and restructuring and insolvency issues. She advises clients on litigation in Japan.

Before joining Hogan Lovells, Reina was in-house counsel at a Japanese entertainment software company and a Japanese life sciences-related company, and supported numerous transactions, both domestic and international.

Representative experience

Advising Virbac on its agreement with ORIX Corporation for the €280 million acquisition of its Japanese animal health subsidiary Sasaeah Holdings Co., Ltd.

Advising Samvardhana Motherson International Limited on its purchase of an 81% stake in Yachiyo Industry Co., Ltd., a TSE-listed subsidiary of Honda Motors Co., Ltd. 

Advising Covestro AG, one of the world’s leading manufacturers of high-quality plastics and their components, on the sale of its additive manufacturing business to US-Israeli Stratasys Group.

Advising Applied Materials on its proposed multi-billion-dollar acquisition of Kokusai Electric’s semiconductor manufacturing business in Japan.

Advising Dell Technologies on its US$2.075bn sale of RSA to a consortium of investors led by Symphony Technology Group, Ontario Teachers’ Pension Plan Board, and AlpInvest Partners.

Advising various clients on general issues and procedures in Japanese insolvency and restructuring law in relation to the COVID-19 pandemic.

Advising an international logistics company on employment matters relating to its Japanese subsidiary, including advice in relation to terminations, redundancy, resignations, settlement negotiations, drafting of resignation and release agreements, and litigation.

Advised a Japanese company on negotiations of a shareholders agreement for its Spanish subsidiary company.*

Advised a Japanese company in its acquisition of shares of a Thailand life science-related company.*

Advised a Japanese company on procedures under Indonesian environmental regulations and permits.*

Advised an Indonesian company on the sale of a warehouse and related facility in Indonesia.*
