Hogan Lovells advises Gutenberg Capital on its preliminary agreement to purchase Power Park Opole

Global law firm Hogan Lovells has advised Gutenberg Capital, a German based investment company, on the legal and tax aspects of the acquisition of Power Park Opole from EPP. The preliminary purchase agreement was finalised on 29 November, 2021.

The transaction is expected to be completed in March 2022 subject to fulfilling the conditions precedent. Power Park Opole provides around 23,000 sqm and is anchored by Auchan and Media Markt.

The acquisition of Power Park Opole is Gutenberg Capital’s first strategic investment in Poland. Gutenberg Capital intends to expand its portfolio of food-anchored retail properties in the upcoming months.

The Hogan Lovells team was led by Warsaw-based Real Estate Counsel Bartosz Clemenz with support from business lawyer Paweł Gnaś. The transaction team consisted of associate Adam Nowosielski, lawyer Natalia Olechnowicz and Antoni Cypryjański.

Warsaw-based Tax partner Andrzej Dębiec with support from counsel Zbigniew Marczyk and associate Jan Starybrat advised on the tax aspects.

Warsaw-based Corporate & Finance senior associate Mateusz Dereszyński advised on the finance aspects of the deal.
