Hogan Lovells advises Adagia on majority stake in SCHWIND
Led by Frankfurt-based partner Nikolai Sokolov, international law firm Hogan Lovells advised private equity company Adagia Partners on its majority stake in SCHWIND eye-tech-solutions GmbH. Adagia is buying the shares from Europe's largest financial investor Ardian, which previously held a majority stake and is now withdrawing from SCHWIND.
SCHWIND, a family-owned enterprise that was founded in 1958 in the Lower Franconian town of Kleinostheim, specialises in eye laser technology and ranks number two globally in the sector. The company develops, produces and markets an extensive and highly sophisticated range of products for the treatment of vision defects and corneal diseases.
As part of its investment, Adagia will establish a EUR 750 million fund and invest in medium-sized companies in France, the Benelux Countries and the countries of the DACH region, primarily in the healthcare, corporate services and technology sectors.
Hogan Lovells has advised Adagia on all legal aspects in connection with the acquisition and acquisition structure as well as financing, the co-investment, the management participation programme and the W&I insurance policy.
