Described as "approachable and pragmatic" by Legal 500 UK, Nicola has over 20 years’ experience advising clients on game-changing and often innovative corporate finance transactions.

Nicola’s broad experience is international and extends to corporate transactions, domestic and cross-border M&A, joint ventures, the Takeover Code, disclosure and governance issues, securities law and the Listing Rules as well as secondary capital raising and restructurings. She is also often called upon by boards of listed companies to advise on their significant corporate matters.  

Nicola is Leader of our Insurance Sector, the first woman in the firm to be appointed to this role.  She has experience across a number of sectors including, in particular, insurance, financial services, retail and real estate.

Represented Shaftesbury PLC on its recommended £5bn all-share merger with Capital & Counties Properties PLC.

Represented AXA on the acquisition of Ageas Insurance Limited’s commercial lines insurance business.

Represented a global insurance broker on the sale of its Russian entities.

Represented Just Group plc cash box placing of £75 million alongside an underwritten benchmark restricted tier 1 debt offering of at £300 million.

Represented Shaftesbury on its £300 million underwritten equity capital raise.

Represented U+I on the sale of its stake in the Harwell Science and Innovation Campus to Brookfield Asset Management. 

Represented AXA on various transactions including the disposal by way of auction sale of Bluefin and HAPS.

Represented OYAK, a Turkish pension Fund on its proposed acquisition of British Steel.

Represented Suramericana on the multi-jurisdictional acquisition from Royal + Sun Alliance of its Latin American businesses.

Represented the Pension Protection Fund on its arrangements with Tata Steel.

Represented Prudential/M+G on various corporate acquisitions of real estate assets.

Represented Segro on its £1bn public takeover of Brixton plc and associated placing and open offer.

Represented Aviva on its acquisition of real estate assets by way of the acquisition of shares in various companies.

Represented Santander on the integration of the Alliance & Leicester business by way of a Part VII transfer.

Represented CH2M Hill on its £120m acquisition of Halcrow Holdings Limited by way of a scheme of arrangement.
