Hogan Lovells advises Daher on the signature of an agreement to sell its nuclear activities in Germany and North America to Orano
Hogan Lovells has advised Daher, aircraft manufacturer industry and services provider, on the signature of an agreement for the acquisition by Orano Nuclear Packages and Services (“Orano NPS”) of Daher’s German nuclear activities (Daher Nuclear Technologies Gmbh - “DNT”) and of its North American subsidiary (TLI Inc. - “TLI”).
DNT and its subsidiary TLI, which have proven expertise in the transport of nuclear materials and packaging engineering, employ together c. 100 employees based in Germany (Hanau and Leese) and in the United States (Fulton, Maryland and Kevil, Kentucky). In Germany, DNT's teams have specific skills in rail transport organization and waste storage.
The completion of this transaction remains subject to the customary authorizations, in particular with regard to foreign investments and merger control/anti-trust laws.
A cross-border and cross-practice team from Hogan Lovells has advised Daher, led by Paris Corporate partner Jean-Marc Franceschi, involving several Hogan Lovells offices in France, Germany and the United States.
In Paris, the team was made up of Jean-Marc Franceschi (partner), Arnaud Deparday (Counsel) and Florian Tranchecoste (associate) on the corporate aspects; Ludovic Geneston (partner) and Adrian Gaina (associate) on the tax aspects.
In Germany, the team included Lutz Angerer (partner) and Andreas Thun (Counsel) on the corporate aspects and Christoph Wünschmann (partner) on the Antitrust aspects from the Munich office; Mathias Schönhaus (partner) on the tax aspects from the Düsseldorf office; Kerstin Neighbour (partner) on the employment aspects from the Frankfurt office.
In the United States, the team included Daniel F. Stenger (partner) and Patrick Miller (associate) on the Regulatory aspects from the Washington office.
