Operating at the leading edge of the field, Lindsay leverages her deep understanding of regulatory and transactional landscapes to meet her client’s strategic business needs. She brings valuable insight to a range of natural resources, environmental, and energy issues when dealing with corporate transactions, compliance, and commercial litigation.

Lindsay’s practice is global and spans all facets of natural resources law and all stages of project development. She advises clients on resource development on public, private and Indian lands, complex commercial transactions, permitting, compliance, disputes, and issues arising under federal and state statutes related to energy, the environment, and natural resources. For example, Lindsay provides full-service support for her clients in complex extractive- and energy-industry transactions and disputes— from conducting front-end due diligence and ESG consulting to drafting and negotiating acquisition, divestiture, and merger agreements and related financing and investment instruments, providing daily operational support for projects, and representing clients in disputes in state and federal courts.

Prior to joining Hogan Lovells, Lindsay was an associate in the Houston office of a major international law firm where her practice focused on environmental transactions and a legal fellow in Defenders of Wildlife’s Denver office, where she worked a variety other of legal matters related to conservation and special status species. Lindsay also clerked for the Honorable Melinda Harmon of the Southern District of Texas.

Lindsay maintains a robust pro bono practice and is active in the firm’s diversity efforts and her local community. She is a member of the Turtle Clan of the Onondaga Clear Sky First Nation of the Iroquois Confederacy.

Representative experience

Advising major OEM on transactions and due diligence for investments in and offtake agreements from critical mineral mining projects globally, including the United States, Australia, and Indonesia.

Advised AngloGold Ashanti on its US$150m acquisition of Coeur Mining’s Nevada gold projects

Advised PPG on its US$1.15bn acquisition of global coating manufacturer Ennis-Flint.

Advised Lockheed Martin on its US$4.4bn acquisition of Aerojet Rocketdyne, a world-recognized aerospace and defense rocket engine manufacturer.

Advised an oil and gas company on its definitive merger agreement in an all-stock merger of equals to create an industry-leading diversified oilfield services provider.*

Advised a U.S.-based private equity (PE) firm in its definitive agreement with another PE firm to recapitalize a privately held scientific and industrial instrument distributor.*
